Otonomii Terms of Service — Individuals


Effective Date: March 22, 2026. These Terms of Service govern your individual use of Otonomii's products, services, subscriptions, and platform features. Please review them carefully before using the Services.

Welcome


These Terms of Service ("Terms") govern your access to and use of the products, services, websites, and applications provided by Otonomii, Inc. ("Otonomii," "we," "us," or "our"). By creating an account, accessing, or using our Services, you agree to be bound by these Terms.

These Terms apply to all individual users, including free-tier users, paid subscribers, beta testers, and users of individual-licensed products. If you are accessing the Services on behalf of an organization, you must have authority to bind that organization and should refer to our Enterprise Terms of Service instead.

Please read these Terms carefully. They contain important information about your rights and obligations, including limitations of liability, arbitration provisions, and a class action waiver.

Who We Are


Otonomii is an autonomous intelligence company. We build perpetual machines — systems that perceive, understand, decide, and act without human intervention. Our platform provides cognitive infrastructure that organizations and individuals use to automate complex tasks, generate insights, make decisions, and interact with dynamic environments.

Our technology is built on the principle that complexity is the enemy of durability. We pursue simplicity not as a compromise but as an engineering constraint that produces more resilient, more explainable, and more trustworthy autonomous systems.

Account Creation


To access the Services, you must create an account. You must be at least 18 years of age (or the age of majority in your jurisdiction, whichever is higher) to create an account. By creating an account, you represent that you meet this age requirement.

You are responsible for maintaining the confidentiality of your account credentials, including your password and any API keys. Do not share your credentials with any other person. You are responsible for all activity that occurs under your account, whether or not authorized by you.

If you create an account using an email address associated with a business domain (e.g., yourname@company.com), your account may be linked to your organization's enterprise account if your organization subsequently enters into an Enterprise agreement with Otonomii. In such cases, your organization's administrator may gain the ability to manage your account, access usage data, and apply organizational policies. You will be notified before any such linking occurs.

You must provide accurate and complete information when creating your account and keep this information up to date. We may suspend or terminate accounts with materially inaccurate information.

Use of Services


You may use the Services only in compliance with these Terms and our Acceptable Use Policy ("AUP"). The AUP is incorporated into these Terms by reference. In the event of conflict, the more restrictive provision governs.


Without limiting the generality of the AUP, you specifically agree not to:


(a)

Use the Services to generate content that violates any applicable law or regulation

(b)

Attempt to reverse-engineer, decompile, or extract the model weights, training data, or algorithms underlying the Services

(c)

Use the Services to develop products or services that directly compete with Otonomii without written authorization

(d)

Circumvent, disable, or interfere with security features, rate limits, usage quotas, or access controls

(e)

Share your account credentials with others or allow others to access the Services through your account

(f)

Use automated tools (bots, scrapers, crawlers) to access the Services beyond normal API usage

(g)

Impersonate any person or entity, or falsely claim an affiliation with any person or entity

(h)

Upload or transmit viruses, malware, or other harmful code through the Services

(i)

Use the Services in a manner that could damage, disable, overburden, or impair the Services or interfere with any other user's use

Inputs, Outputs, and Actions


"Inputs" are the prompts, queries, documents, data, and other content you submit to the Services. You retain all rights in your Inputs. By submitting Inputs, you represent that you have the right to submit them and that they do not violate any third party's rights.

"Outputs" are the responses, analyses, generated content, decisions, and other results produced by the Services in response to your Inputs. To the extent permitted by applicable law, Otonomii assigns to you all right, title, and interest in Outputs generated from your Inputs. You acknowledge that due to the nature of AI systems, Outputs are not unique — other users may receive substantially similar Outputs from different Inputs.

Outputs may not be accurate, complete, current, or reliable. AI systems can produce plausible-sounding but incorrect information (commonly called "hallucinations"). You must not rely on Outputs without independent verification, especially for consequential decisions involving health, safety, legal, financial, or other significant matters. Otonomii is not liable for any decisions you make based on Outputs.


Training Policy

For individual (non-enterprise, non-API) users, Inputs and Outputs may be used to train and improve our AI models unless you opt out. You can opt out at any time in your account settings. Opting out is effective within 24 hours and applies prospectively — it does not affect data already used for training prior to the opt-out. Enterprise and API customers' data is never used for training, regardless of opt-out status.

Feedback


If you provide us with feedback, suggestions, ideas, or recommendations regarding the Services ("Feedback"), you grant us a worldwide, perpetual, irrevocable, royalty-free right to use, reproduce, modify, distribute, and incorporate such Feedback into our Services and any other products or services without obligation to you. You acknowledge that Feedback is not confidential and that Otonomii may already be developing similar features independently. Feedback does not include your Inputs or Outputs.

Subscriptions


Paid subscriptions provide access to premium features, increased usage limits, and priority support. Subscription fees are charged in advance on a monthly or annual basis, depending on the plan selected.

Subscriptions are non-refundable except as required by applicable law. Once a billing cycle has begun, you will not receive a refund for that cycle even if you cancel or downgrade during the cycle.

Subscriptions auto-renew at the end of each billing cycle unless you cancel before the renewal date. You can cancel auto-renewal at any time through your account settings. Cancellation takes effect at the end of the current billing cycle — you retain access to paid features until then.

New subscribers have a 24-hour cancellation window from the time of initial subscription purchase during which a full refund is available.


Regional Cancellation Rights

Users in Brazil, Mexico, Republic of Korea, and Taiwan have a 7-day right of withdrawal from the date of subscription purchase, during which a full refund is available regardless of usage. To exercise this right, contact support@otonomii.com within the 7-day period.

Third-Party Services


The Services may contain links to or integrations with third-party websites, applications, or services ("Third-Party Services"). Otonomii does not control, endorse, or assume responsibility for Third-Party Services. Your use of Third-Party Services is at your own risk and subject to the third party's terms and privacy policies. Otonomii is not liable for any loss, damage, or harm arising from your use of Third-Party Services, including any data shared with or collected by third parties.

Content Moderation


Otonomii reserves the right to review, moderate, and remove any content generated through or submitted to the Services that violates these Terms, the AUP, or applicable law. Content moderation may be performed through automated classifiers, human review, or a combination thereof. We are not obligated to monitor all content but may do so at our discretion.

If your content is removed, you will receive a notification explaining the reason. You may appeal content moderation decisions through the process described in the AUP.

Software


The Services may include downloadable software, browser extensions, mobile applications, or desktop applications ("Software"). Software may update automatically without notice to ensure you receive the latest features, security patches, and bug fixes. You consent to these automatic updates as a condition of using the Software.

Some components of the Software may be provided under open-source licenses. Open-source components are identified in the Software's attribution notices or NOTICE files. To the extent any open-source license terms conflict with these Terms, the open-source license terms govern with respect to the applicable open-source component only.

Ownership


Otonomii retains all right, title, and interest in and to the Services, including all software, algorithms, models, architectures, user interfaces, designs, documentation, trade secrets, trademarks, and other intellectual property embodied in or related to the Services. Your use of the Services does not convey any ownership interest in the underlying platform or technology.

The Otonomii name, logo, and all related product and service names, designs, and slogans are trademarks of Otonomii or its affiliates. You may not use these marks without our prior written permission.

Disclaimers and Liability


THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. OTONOMII DISCLAIMS ALL WARRANTIES INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF OUTPUTS.

OTONOMII'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO OTONOMII DURING THE 6-MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

IN NO EVENT WILL OTONOMII BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR USE, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF OTONOMII HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

You agree to indemnify, defend, and hold harmless Otonomii and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms or the AUP; (c) your Inputs or use of Outputs; (d) your violation of any third party's rights.

General Terms



Modification and Discontinuation

Otonomii may modify, suspend, or discontinue the Services (or any part thereof) at any time, with or without notice. We will make reasonable efforts to provide advance notice for material changes. Otonomii is not liable to you for any modification, suspension, or discontinuation of the Services.


Updates to Terms

We may update these Terms from time to time. For material changes, we will provide at least 30 days notice via email or in-product notification. Your continued use of the Services after the updated Terms take effect constitutes acceptance. If you do not agree to updated Terms, you must stop using the Services and close your account.


Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without Otonomii's prior written consent. Otonomii may assign these Terms freely in connection with a merger, acquisition, reorganization, or sale of assets. Any purported assignment in violation of this section is void.


Export Controls

You acknowledge that the Services may be subject to export control and sanctions laws of the United States and other jurisdictions. You shall not use, export, or transfer the Services in violation of any applicable export control or sanctions laws. You represent that you are not located in, organized under the laws of, or a resident of any country subject to comprehensive US sanctions.


Inactive Accounts

Otonomii may terminate accounts that have been inactive for 12 consecutive months. Before termination, we will send a notice to the email address associated with the account providing at least 30 days to reactivate. Upon termination for inactivity, account data will be deleted in accordance with our Privacy Policy.

Disputes


These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms will be resolved exclusively in the state and federal courts located in Wilmington, Delaware. You consent to the personal jurisdiction and venue of these courts.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights, confidentiality obligations, or other proprietary rights.

YOU WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR OTHER REPRESENTATIVE PROCEEDING. Claims may only be brought in an individual capacity.
